These terms govern your purchase and use of the Intentia lifetime transfer memo service and your use of www.intentia.co.uk (our site). Please read them before using our site or placing an order. The section Using our site applies to anyone who uses our site, including someone invited to sign a Memo, whether or not they place an order.

What Intentia is
Your Memo. Intentia is an online service that helps you create a written record of a gift made during the giver's lifetime and the reasons for it (your Memo). You can create a Memo whether you gave the gift or received it. Each Memo records a gift from one person to one other person, so if a gift was made to more than one person, you'll need a separate Memo for each of them. Your Memo is designed to be kept as evidence of what was intended, which may help if a gift is questioned in future, for example after the giver's death.
How it works. You answer questions on our website about the gift, the person who gave it and the person who received it. We then use your answers to generate your Memo automatically and make it available to you in your online account straight away. No lawyer reviews your answers or your Memo.
Signing your Memo. Your Memo is designed to be signed by both the person who gave the gift and the person who received it. You can download your Memo and arrange for it to be signed on paper, or you can use our site to invite the other person to sign it electronically. The other person doesn't need an Intentia account, but they will need to verify their identity by uploading a photo of their passport or driving licence. You will also need to verify your identity. We can't make the other person sign your Memo and we're not responsible if they choose not to.
Intentia is not legal advice. Your Memo is a record based on the information you give us. We don't give you legal, tax or financial advice through Intentia, and we don't check whether a gift is valid, whether it has tax consequences or whether it is in your best interests. If you need advice, you should speak to your own adviser or a lawyer.
We can't guarantee the outcome of any dispute. Your Memo may help to show what you intended, but we can't guarantee that a gift won't be challenged, or how a court or anyone else will treat your Memo if it is.
Who can use Intentia. You can only buy a Memo about a gift that you have given or received. You must be at least 18 and live in the UK.
When you buy from us you are agreeing that:
- Intentia is not legal advice.
- You can check and correct your answers before your Memo is generated.
- Our contract starts when you pay.
- We may end the contract and refund you.
- We charge you when you order.

- We can withdraw Intentia.
- We can end our contract with you.

- We keep your Memo for six years, unless you delete your account.
- You must follow the rules for using our site.
- You have several options for resolving disputes with us.
- Other important terms apply to our contract.
You can check and correct your answers before your Memo is generated
To place an order, follow the steps on our site to pay and then answer the questions. Before your Memo is generated, you'll be able to review your answers and correct any mistakes. If you notice a mistake after your Memo has been generated, contact our Customer Service Team at [email protected] before it has been signed and we'll let you know whether we can correct it.
When our contract with you starts
Our contract with you starts when we confirm your payment on screen and by email. We’ll then ask you to answer the questions and will make your Memo available to you as soon as you’ve finished.
We may end the contract and refund you
We may end our contract with you and refund you in full if, before your Memo is made available to you, we find that:
- you’re not eligible to use Intentia (see Who can use Intentia);
- the price shown on our site was wrong; or
- we reasonably suspect fraud or misuse of our site.
If this happens, we’ll let you know as soon as possible.
We charge you when you order
Price. The price of your Memo (including VAT) is the price shown on our site when you place your order. We take payment in full when you place your order. If we change our prices, this won’t affect any order you have already placed.
We're not responsible for delays outside our control
If our supply of your product is delayed by an event outside our control, we contact you as soon as possible to let you know and do what we can to reduce the delay. As long as we do this, we won't compensate you for the delay, but if the delay is likely to be substantial you can contact our Customer Service Team at [email protected] to end the contract and receive a refund for any products you have paid for in advance but not received.
When and how you'll receive your Memo
We'll make your Memo available to you in your online account as soon as you've finished answering the questions, usually within a few minutes. You can download it as a PDF.
You're responsible for making sure the information you give us is accurate. We create your Memo using the information you give us. You're responsible for making sure that information is complete, accurate and true. If you're not sure what information we need, you can find guidance on our website.
Your right to change your mind. As you buy online, you have a legal right to change your mind. However, because your Memo is digital content, you lose this right once your Memo has been made available to you. When you place your order, we’ll ask you to agree that we can make your Memo available to you as soon as it is ready, and to confirm that you understand you’ll lose your right to change your mind once we do.
Once your Memo is ready, you can’t cancel. Once your Memo has been made available to you, you can’t cancel your order or get a refund for changing your mind. This doesn’t affect your legal rights if there is something wrong with your Memo (see You have rights if there is something wrong with your product).
How to let us know and what happens next. If you change your mind before your Memo is made available to you, for example while you’re still answering the questions, email our Customer Service Team at [email protected]. We’ll refund you in full, by the method you used to pay, within 14 days of you telling us.
You have rights if there is something wrong with your product
If you think there is something wrong with your Memo you must contact our Customer Service Team at [email protected].
Summary of your key legal rights
If your product is digital content, for example your Memo, the Consumer Rights Act 2015 says digital content must be as described, fit for purpose and of satisfactory quality:
- If your digital content is faulty, you're entitled to a repair or a replacement.
- If the fault can't be fixed, or if it hasn't been fixed within a reasonable time and without significant inconvenience, you can get some or all of your money back.
- If you can show the fault has damaged your device and we haven't used reasonable care and skill, you may be entitled to a repair or compensation
In relation to our services, for example any ongoing service we provide, such as storing your Memo, the Consumer Rights Act 2015 says:
- You can ask us to repeat or fix a service if it's not carried out with reasonable care and skill or get some money back if we can't fix it.
- If a price hasn't been agreed upfront, what you're asked to pay must be reasonable.
- If a time hasn't been agreed upfront, it must be carried out within a reasonable time.
We can change products and these terms
Changes we can always make. We can always change a product or these terms:
- to make minor technical adjustments and improvements, for example to address a security threat or correct errors or omissions in any information or document, provided that doing so does not materially affect your use of the product or your or our rights; and
- to update digital content, provided that the digital content always matches the description of it that we provided to you before you bought it.
Changes won't affect your existing order. If we change our site, the Memo or these terms, this won't change the price or terms of an order we've already accepted, or your legal rights in relation to a Memo we've already supplied.
Changes we can only make if we give you notice and an option to cancel. If, before your Memo is made available to you, we need to make a change to the product or these terms to reflect developments in relevant laws or regulatory requirement, we’ll let you know, and you can cancel your order and receive a full refund by contacting our Customer Service Team at [email protected].
We can suspend supply (and you have rights if we do).
We can suspend the supply of a product. We do this to:
- deal with technical problems or make minor technical changes;
- update the product to reflect changes in relevant laws and regulatory requirements; or
- make changes to the product (see We can change products and these terms).
We let you know and may allow you to cancel. We contact you in advance to tell you we’re suspending supply, unless the problem is urgent or an emergency. If we suspend supply before your Memo has been made available to you and the suspension lasts, or we tell you it will last, for more than 30 days, you can contact our Customer Service Team at [email protected] to cancel your order and we’ll refund you in full.
We can withdraw Intentia
We can stop providing Intentia, including storing Memos in your online account. If we do, we’ll let you know at least 60 days in advance so that you can download a copy of any Memo you want to keep. If you’ve paid for a Memo that we haven’t yet made available to you, we’ll refund you in full.
We can end our contract with you
We can end our contract with you for a product and claim any compensation due to us if:
- you don't, within a reasonable time of us asking for it, provide us with information, cooperation or access that we need to provide the product, for example, information we need to create your Memo;
- you break the rules in Using our site, or you knowingly give us false information.
We don't compensate you for all losses caused by us or our products
We're responsible for foreseeable loss and damage caused by us. If we fail to comply with these terms, we're responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill.
We're not responsible for losses you suffer caused by us breaking this contract if the loss is:
- Unexpected. It was not obvious that it would happen and nothing you said to us before we accepted your order meant we should have expected it (so, in the law, the loss was unforeseeable).
- Caused by a delaying event outside our control. As long as we have taken the steps set out in the section We're not responsible for delays outside our control.
- Avoidable. Something you could have avoided by taking reasonable action. For example, losing access to your Memo where you could have avoided this by downloading and keeping your own copy.
- Caused by the information you gave us. For example, if your Memo is inaccurate or incomplete because the information you gave us was inaccurate or incomplete.
- The outcome of a dispute. If your Memo was provided as described, we’re not responsible for how a court or anyone else treats it, or for the outcome of any dispute about a gift.
We don't exclude or limit our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and for breach of your legal rights in relation to your Memo.
We use your personal data as set out in our Privacy Policy
How we use any personal data you give us is set out in our Privacy Policy.
You must be entitled to give us information about other people
To create your Memo, you'll need to give us information about other people, such as the other person involved in the gift. You must only give us information about another person if you're entitled to do so. If you invite the other person to sign your Memo, we'll send them a copy of it and a link to our Privacy Policy. If you don't, you should let them know that you've shared their information with us and point them to our Privacy Policy.
Sharing your Memo with your Adviser
If you were referred to Intentia by a financial adviser, lawyer or other professional (your Adviser), we'll send a copy of your Memo to your Adviser when it is generated. We'll only do this if you agree when you order, and it won't affect your Memo or the price. You can ask us not to send it at any time before it's sent by emailing [email protected]. Once it's sent, your Adviser holds it under their own privacy notice.
Your Adviser is not a party to this contract and does not act on our behalf. Your Adviser may receive a payment from us for referring you to us.
How long you can access your Memo
We'll keep your Memo for six years from the date it is generated, so that you or your personal representatives can ask us for a copy if it's needed in future. If you delete your account, we'll delete your Memo straight away and won't be able to give you a copy. Please download your Memo and keep your own copy safe, as it won't be available from us after six years or once you've deleted your account.
Unfinished Memos. If you don't finish answering the questions within 30 days of placing your order, we'll delete the answers you've given and you'll need to start again if you still want your Memo.
Using our site
Keep your account details safe. You must keep your password confidential and tell us promptly at [email protected] if you think someone else knows it.
Don't misuse our site. You must not misuse our site, for example by knowingly introducing viruses or other harmful material, trying to gain unauthorised access to our site or the systems it runs on, or using automated tools to scrape or copy content from it.
Our intellectual property. We (or our licensors) own all intellectual property rights in our site and in Intentia, including the questions we ask, the way they are structured, the software, logic and workflows that generate Memos, our databases, and the format and standard wording of Memos. Intentia is a trade mark of IDR Law Limited. You have no rights in any of these except as set out below.
Your Memo is for your own use. Once you've paid in full, you may download, print, copy and share your Memo for your own personal purposes, including with the other person named in it, your family, your advisers, your personal representatives and any court, tribunal or other party involved in a dispute about your gifts. You must not use our site or any Memo for commercial purposes.
Don’t copy Intentia. You must not copy, reproduce, adapt or republish the questions on our site, or the format, structure or standard wording of Memos (other than using your own Memo as allowed above). You must not try to reverse engineer, decompile or extract the software or logic behind Intentia, except where the law allows you to and this cannot be excluded. You must not use our site or any Memo to develop or train any AI system or model.
You have several options for resolving disputes with us
Our complaints policy. Our Customer Service Team at [email protected] will do their best to resolve any problems you have with us or our products.
Resolving disputes without going to court. Alternative dispute resolution is an optional process where an independent body considers the facts of a dispute and seeks to resolve it, without you having to go to court. You can submit a complaint to the Legal Ombudsman through their website at www.legalombudsman.org.uk. The Legal Ombudsman does not charge you for making a complaint and if you're not satisfied with the outcome you can still go to court.
You can go to court. These terms are governed by English law and wherever you live you can bring claims against us in the English courts. If you live in Wales, Scotland or Northern Ireland, you can also bring claims against us in the courts of the country you live in. We can claim against you in the courts of the country you live in.
Other important terms apply to our contract
We can transfer our contract with you, so that a different organisation is responsible for supplying your product. We'll tell you in writing if this happens and we'll ensure that the transfer won't affect your rights under the contract.
You can only transfer your contract with us to someone else if we agree to this.
Nobody else has any rights under this contract. This contract is between you and us. Nobody else can enforce it and neither of us will need to ask anybody else to sign-off on ending or changing it.
If a court invalidates some of this contract, the rest of it will still apply. If a court or other authority decides that some of these terms are unlawful, the rest will continue to apply.
Even if we delay in enforcing this contract, we can still enforce it later. We might not immediately chase you for not doing something (like paying) or for doing something you're not allowed to, but that doesn’t mean we can't do it later.
